Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Marv.inbox platform operated by O.Dev, a company incorporated in Israel (“Company”, “we”, “us”). By accessing or using the Service you agree to be bound by these Terms.

1. Definitions

"Customer Data"All data, messages, contacts, and content you or your End Users submit through the Service.
"End Users"Your customers, employees, or agents who interact with the Service through your account.
"Subscription"A paid or trial plan granting access to the Service.
"Meta Platform"Meta's WhatsApp Business API, Facebook Messenger, and Instagram messaging platforms.

2. Service Description

Marv.inbox is a multi-tenant omnichannel customer communication platform enabling businesses to manage conversations across WhatsApp, Facebook Messenger, Instagram Direct, Telegram, Microsoft Teams, and other channels through a unified interface. Available features depend on your Subscription plan.

3. Account Registration and Security

  • The Service is for business use only. Consumer use is not permitted.
  • You must provide accurate, complete, and current registration information and keep it up to date.
  • You are solely responsible for the confidentiality of your credentials and all activity under your account.
  • Notify us immediately at legal@oshri.dev upon discovering suspected unauthorised access.
  • Do not create multiple accounts to circumvent plan limitations or any suspension.

4. Subscriptions, Fees, and Payment

  • Access requires a valid Subscription. Pricing is shown on our pricing page or your order form, exclusive of taxes.
  • You are responsible for all applicable taxes, including Israeli VAT (מע"מ).
  • Fees are billed in advance on the monthly or annual cycle selected at sign-up.
  • Subscription fees are non-refundable except as required by Israeli law or agreed in writing.
  • Overdue amounts accrue interest at the statutory rate under the Israeli Adjudication of Interest and Linkage Law (5721-1961).
  • We may change fees with 30 days' prior notice. Continued use constitutes acceptance.
  • You are solely responsible for third-party platform fees (e.g., Meta WhatsApp message fees).

5. Acceptable Use

You must not, and must ensure your End Users do not:

  • Send unsolicited bulk messages (spam) or violate any anti-spam law.
  • Harass, threaten, defame, or harm any person.
  • Transmit malware, viruses, or malicious code.
  • Attempt unauthorised access to the Service, its infrastructure, or any other account.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service.
  • Resell or sublicense the Service without prior written consent.
  • Violate the terms of any connected third-party platform (Meta, Telegram, Microsoft, etc.).
  • Store or transmit content that is illegal under Israeli law or the laws of your jurisdiction.

6. Meta and WhatsApp Platform Compliance

  • You must hold a valid Meta WhatsApp Business Account (WABA) approved by Meta to use WhatsApp features.
  • You are solely responsible for complying with Meta's WhatsApp Business Policy, Messenger Policy, and all applicable Meta Platform Terms.
  • WhatsApp message templates must be pre-approved by Meta (typically 24–72 hours). Approval is outside our control.
  • You are responsible for obtaining valid opt-in consent from End Users before initiating contact.
  • We do not guarantee message delivery, which depends on third-party platform availability.

7. Intellectual Property

  • The Service, including all software, designs, trademarks, and documentation, remains the exclusive property of the Company and its licensors.
  • We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your Subscription term for internal business purposes only.
  • You retain ownership of all Customer Data. You grant us a limited licence to process it solely to provide the Service.
  • You may not copy, modify, sublicense, or distribute any part of the Service except as expressly permitted.

8. Data Processing and Privacy

Our collection and use of personal data is described in our Privacy Policy, incorporated into these Terms by reference. For personal data you submit about your End Users, you are the data controller and we act as your data processor under the Israeli Protection of Privacy Law, 5741-1981, and its amendments. A Data Processing Agreement (DPA) is available upon request.

9. Confidentiality

Each party agrees to keep confidential all non-public information of the other party that is designated as confidential or that reasonably should be understood as confidential. Obligations do not apply to information that becomes publicly known without breach, was previously known, is received from a third party without restriction, or must be disclosed by law. Confidentiality obligations survive termination for three (3) years.

10. Warranties and Disclaimers

We warrant that the Service will perform materially in accordance with its documentation during your Subscription term.

EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY ISRAELI LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ₪5,000, WHICHEVER IS GREATER.

These limitations do not apply to liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Israeli law.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, and employees from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your Customer Data, your violation of any law or third-party right, or your End Users' use of the Service through your account.

13. Term and Termination

  • These Terms begin on your registration date and continue until terminated.
  • You may cancel your Subscription at any time; cancellation takes effect at the end of the current billing period. No refund is issued for the remainder of a paid period.
  • We may suspend or terminate your access immediately for material breach (uncured within 14 days), non-payment, legal requirement, or security risk.
  • Upon termination, we retain your Customer Data for 30 days (available for export), after which it may be permanently deleted.

14. Service Availability and Modifications

We target 99.5% monthly uptime but do not guarantee it. We will provide advance notice of scheduled maintenance. We reserve the right to modify or discontinue features with reasonable notice.

15. Governing Law and Jurisdiction

These Terms are governed exclusively by the laws of the State of Israel, without regard to conflict of law principles. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Tel Aviv-Jaffa, Israel. The parties will first attempt good-faith resolution for 30 days before initiating formal proceedings.

16. General

  • These Terms, together with the Privacy Policy and any DPA or order form, are the entire agreement between the parties.
  • We may amend these Terms with 14 days' prior notice for material changes. Continued use constitutes acceptance.
  • If any provision is found invalid, the remaining provisions remain in effect.
  • You may not assign your rights without our written consent. We may assign in connection with a merger or acquisition.
  • Neither party is liable for delays caused by events beyond its reasonable control (force majeure).
  • In case of inconsistency between English and Hebrew versions, the English version prevails.
